By accessing or using the AIXFIN.IO website and services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Services. These Terms apply to all visitors, users, and others who access or use the Services.

2. Description of Services

AIXFIN.IO provides a white-label financial insights platform designed for credit unions and community financial institutions. Our Services include spending analytics, subscription detection, price-increase alerts, and related financial wellness tools that can be embedded into digital banking experiences.

3. Eligibility

Our Services are intended for use by credit unions, community banks, and other regulated financial institutions. By using our Services, you represent that you are authorized to act on behalf of such an institution or are an individual authorized to access information about our Services.

4. User Accounts and Registration

To access certain features of our Services, you may be required to register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

5. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit any malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity or performance of our Services
  • Reverse engineer, decompile, or disassemble any part of our Services
  • Use our Services for any fraudulent or deceptive purposes
  • Collect or harvest data about other users without consent

6. Intellectual Property

The Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, software, and compilation thereof) are owned by AIXFIN.IO or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. This license does not include the right to copy, modify, distribute, sell, or lease any part of our Services or content.

7. Partner Service Agreements

Credit unions and financial institutions that partner with AIXFIN.IO will enter into separate service agreements that govern the specific terms of the platform deployment, data processing, pricing, and service levels. These Terms of Use apply in addition to any such agreements.

8. Data and Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our collection and use of information as described in the Privacy Policy.

9. Tokenized Data Ownership

By using our Services, you acknowledge and agree that:

  • All tokenized, anonymized transaction data transmitted to AIXFIN.IO becomes the property of AIXFIN.IO upon receipt
  • AIXFIN.IO retains full ownership rights to use, store, process, and analyze this tokenized data
  • AIXFIN.IO may use this data at its sole discretion for any lawful purpose, including but not limited to:
    • Training, developing, and improving machine learning models and algorithms
    • Creating new products, features, and services
    • Conducting research, analysis, and generating industry benchmarks
    • Enhancing platform accuracy, fraud detection, and risk assessment
  • This ownership persists even after termination of the service relationship
  • Because tokenized data contains no personally identifiable information, it cannot be traced to individual members

Partner institutions retain ownership of all original, non-tokenized data within their own systems. AIXFIN.IO's ownership applies only to the anonymized, tokenized data that reaches our platform.

10. Confidentiality

Any non-public information shared between parties during discussions, pilots, or service delivery shall be treated as confidential. Neither party shall disclose confidential information to third parties without prior written consent, except as required by law.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We are not responsible for any financial decisions made based on insights provided by our platform.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIXFIN.IO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.

13. Indemnification

You agree to indemnify, defend, and hold harmless AIXFIN.IO and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or violation of these Terms.

14. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
